1. Acceptance and eligibility
By creating an account, starting a trial, purchasing a subscription, or using ScopeGuard Pro, you agree to these Terms and our Privacy Policy. You must be at least 18 and authorized to bind the business you represent. If you do not agree, do not use the service.
2. The service and license
ScopeGuard Pro is subscription software for documenting, pricing, sending, approving, and tracking contractor change orders. Subject to these Terms and payment of applicable fees, Charles Meechan grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business operations during your subscription.
Charles Meechan and his licensors retain all rights in the service, software, branding, designs, and related materials. No ownership is transferred to you.
3. Accounts and user responsibilities
- Provide accurate account and billing information and keep it current.
- Protect login credentials and promptly report suspected unauthorized access.
- Ensure submitted customer records, photos, recordings, pricing, and contract terms are lawful and accurate.
- Obtain all permissions and consents required to collect client data and electronic signatures.
- Review every change order before sending it and comply with applicable contracting, licensing, disclosure, tax, and consumer-protection laws.
You are responsible for activity under your account and for decisions made using generated or calculated content. ScopeGuard Pro does not provide legal, accounting, tax, engineering, or professional contracting advice.
4. Acceptable use
You may not misuse the service, interfere with its operation, attempt unauthorized access, introduce malicious code, scrape or reverse engineer the service except where law expressly permits, violate another person’s rights, upload unlawful or deceptive content, or use the service to facilitate fraud or illegal activity.
5. Subscriptions, trial, and payment
Paid plans renew monthly until canceled. The current price and included features are shown before checkout. By starting a subscription, you authorize recurring charges to your selected payment method. Taxes may be added where required.
Eligible new customers receive a 14-day free trial. Unless canceled before the trial ends, the selected paid plan begins automatically and the payment method on file will be charged. Trial eligibility may be limited to one trial per person, business, or payment method. Additional details appear in our Refund & Cancellation Policy.
6. Your content
You retain ownership of content you submit. You grant Charles Meechan a limited license to host, process, reproduce, transmit, and display that content only as needed to operate, secure, support, and improve the service and comply with law. You represent that you have the rights required to submit and use the content.
7. Availability and changes
We may update, suspend, or modify features to maintain security, legal compliance, and service quality. We do not guarantee uninterrupted or error-free access. We may suspend access for nonpayment, security risk, prohibited use, or material breach of these Terms.
8. Disclaimers
To the maximum extent permitted by law, ScopeGuard Pro is provided “as is” and “as available.” Charles Meechan disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Charles Meechan does not warrant that estimates, calculations, approvals, records, or generated text satisfy the requirements of any particular project, contract, customer, insurer, regulator, or jurisdiction.
9. Limitation of liability
To the maximum extent permitted by law, Charles Meechan will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business, or goodwill arising from the service. Charles Meechan’s total liability for all claims relating to the service will not exceed the amount you paid for the service during the 12 months before the event giving rise to the claim.
These limits do not apply where prohibited by law and do not limit liability that cannot legally be excluded.
10. Indemnification
To the extent permitted by law, you will defend and indemnify Charles Meechan from third-party claims, damages, and reasonable costs arising from your content, your projects or services, your violation of law, or your breach of these Terms.
11. Termination
You may stop using the service and cancel your subscription at any time. Charles Meechan may terminate or suspend access for material breach, nonpayment, unlawful conduct, or a threat to the service or others. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and dispute terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law rules. The state courts located in Ocean County, New Jersey, and the federal courts with jurisdiction over Ocean County will have exclusive jurisdiction over disputes arising from these Terms or the service, and each party consents to those courts. Before filing a claim, the parties agree to make a good-faith effort to resolve it informally by written notice and 30 days of discussion.
13. Changes and contact
We may update these Terms. If a change is material, we will provide reasonable notice. Continued use after the effective date of revised Terms constitutes acceptance.
